This Acceptable Use Policy ("AUP") describes the rules that apply to your use of the services, products, and website provided by Gruvi Software, Inc., a Delaware corporation (herein referred to as "Gruvi"). By using the Services, you agree to comply with this AUP. If you do not agree to this AUP, you must not use the Services.
This AUP is incorporated into and forms part of the Master Subscription Agreement (the "Agreement") between you ("Customer") and Gruvi. Capitalised terms not defined in this AUP have the meanings given to them in the Agreement.
1. Prohibited Content
You may not, and may not permit any third party (including your Users and End-Users) to, use the Services to store, process, post, or transmit any Content or Customer Data that:
1.1. Infringement: Infringes, misappropriates, or violates any third party's intellectual property rights, privacy rights, or publicity rights.
1.2. Illegality: Is illegal, violates any law, or promotes or facilitates illegal activities.
1.3. Harmful Software: Contains Malicious Code, including viruses, malware, or any other harmful software or files.
1.4. Hate and Harassment: Is defamatory, libellous, threatening, harassing, abusive, or promotes discrimination, bigotry, racism, hatred, or violence against individuals or groups.
1.5. Deception: Is fraudulent, false, misleading, or deceptive, including but not limited to impersonating any person or entity or misrepresenting your affiliation with any person or entity.
1.6. Sensitive Information: Includes "Restricted Data" as defined in the Agreement (e.g., PHI under HIPAA, Cardholder Data under PCI-DSS, or high-risk biometric data) unless expressly authorized by Gruvi in writing.
2. Prohibited Behaviours
You agree not to engage in, or permit any third party to engage in, any of the following prohibited behaviours:
2.1. Security Interference: Probing, scanning, or testing the vulnerability of the Services or any Gruvi system or network, or breaching any security or authentication measures.
2.2. Infrastructure Abuse: Interfering with or disrupting the integrity or performance of the Services or the data contained therein, or attempting to gain unauthorized access to the Services or related systems.
2.3. Reverse Engineering: Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, object code, or underlying structure, ideas, or algorithms of the Services (except to the extent such restriction is prohibited by law).
2.4. Scraping: Using any manual or automated system (including robots, spiders, or scrapers) to extract data from the Services or "crawl" any portion of the Services without Gruvi's express written consent.
2.5. Circumvention: Bypassing or attempting to bypass any usage limits, authentication protocols, or technical restrictions implemented within the Services.
2.6. Spamming: Using the Services to send unsolicited bulk communications, "spam," or any other form of unauthorized solicitation.
2.7. Competitive Use: Accessing the Services to build a competitive product or service, or for any other purpose that is to Gruvi's commercial disadvantage.
3. Specific AI Product Restrictions
The following restrictions apply specifically to your use of any AI-driven workflows or AI Agents provided by Gruvi:
High-Risk Use Cases
You may not use any AI Product for any use case which is deemed "high-risk" under applicable AI legislation, including but not limited to:
- (a) Biometric identification and classification of individuals;
- (b) Emotional recognition or inference;
- (c) The safety component of critical infrastructure;
- (d) The safety component of a product or hardware;
- (e) Determining access to education and vocational training;
- (f) Recruitment, monitoring, or terminating employment of individuals;
- (g) Making a creditworthiness assessment or establishing a credit score;
- (h) Risk assessing or pricing life and health insurance;
- (i) Evaluating eligibility for essential public or private services.
3.1. Automated Decisions: You may not use any AI Product to make or directly facilitate automated decisions that will impact an individual's safety, rights, well-being, or which produces legal effects concerning an individual or similar significant effects concerning an individual.
3.2. Legal/Medical/Financial Advice: Generating Outputs that provide professional, legal, medical, or financial advice without a prominent disclaimer that the content is AI-generated and not a substitute for professional consultation.
3.3. Non-Deterministic Nature: Using the AI Product in a way that assumes deterministic results; you acknowledge that Outputs may vary and must be verified.
3.4. Misinformation: Using AI Products to generate or disseminate large-scale misinformation, "deepfakes," or synthetic media intended to mislead or deceive.
3.5. Deceptive Interactions: Failing to disclose to End-Users that they are interacting with an AI Agent where such disclosure is required by law.
4. Monitoring and Enforcement
Gruvi does not proactively monitor all Customer Data or AI Outputs; however, we reserve the right to:
4.1. Investigate Violations: Review Customer's use of the Services to ensure compliance with this AUP and the Agreement.
4.2. Content Removal: Remove or disable access to any content or Customer Data that Gruvi, in its sole discretion, finds to be in violation of this AUP.
4.3. Service Suspension: Suspend or terminate access to the Services for any Customer, User, or End-User who violates this AUP or the Agreement.
4.4. Regulatory Disclosure: Disclose any information as necessary to satisfy any law, regulation, legal process, or governmental request.
5. Reporting and Remediation
If you become aware of any violation of this AUP, you agree to notify Gruvi immediately at legal@gruvi.ai. You agree to cooperate with Gruvi in any investigation or remediation efforts related to such violations.
6. No Warranty for Content
Gruvi is not responsible for any Customer Data, Inputs, or AI Agent Outputs. You agree that you are solely responsible for all content processed through your account and for ensuring that such content complies with all applicable laws and regulations.
